SpaceX and Tesla Explore a Merger: What It Means for TSLA and SPCX Token Holders and the Combined 30,221 BTC

6 min

The short answer

SpaceX and Tesla are studying a possible merger, Elon Musk said on SpaceX's third-quarter earnings call on Tuesday, but nothing is agreed: special committees of independent directors at both companies are talking, and they have not reached terms. If a deal ever happens, the combined company would hold 30,221 BTC, based on the two firms' June 30 filings. For anyone holding tokenized Tesla or SpaceX exposure, or a stock perpetual on TSLA, this is a headline-risk week, not a done deal: Tesla reports earnings after Wednesday's US close, and any merger detail can move both names around the clock on crypto venues.

What Musk actually said

The comments came during SpaceX's Q3 call on 20 October. According to Cointelegraph and CoinDesk, Musk confirmed that both SpaceX and Tesla had set up special committees of independent directors to assess a tie-up, at the request of shareholders. Because he leads and owns large stakes in both companies, he is a conflicted party and cannot take part in those talks.

Asked whether a merger would be a good idea, he said yes, but he immediately tempered it. He told listeners that people who treat a SpaceX-Tesla merger as a certainty are overstating it, and that the committees have not agreed on the terms of any transaction. He also pointed to a hard hurdle on the Tesla side: a deal would need a 50% vote of all Tesla shares outstanding, not just of the shares that turn up to vote. He described that as quite a high bar.

So the honest reading is: talks exist, the CEO likes the idea, and the path is long. There are no terms, no exchange ratio, no timeline and no filing describing a deal.

Cointelegraph notes that 30,221 BTC would make the combined company the sixth-largest public bitcoin treasury company, ahead of the crypto exchange operator Bullish. That is a ranking, not a buying signal: neither company has said it would add bitcoin, and a merger would only combine coins already on the two balance sheets.

The bigger driver of the SpaceX numbers is artificial intelligence. Cointelegraph reports that the "Super Intelligence" segment brought in $7.6 billion in the quarter, up 830% from a year earlier, making it SpaceX's largest revenue line. CoinDesk adds that capital spending reached $19.59 billion, of which $16.44 billion went to AI. SpaceX already owns the social platform X, which it acquired in February, and the Grok developer now called SpaceXAI.

Why this matters for crypto traders

Three things connect this story to a crypto account.

First, the bitcoin treasury angle. Two of the best-known corporate holders sitting under one roof would create a single 30,221 BTC position whose fate depends on one board. Any future decision to hold, sell or add would be one decision instead of two. Nothing like that has been announced, so do not trade on assumptions about it.

Second, Tesla and SpaceX are among the most traded names on crypto venues that list stocks. Tokenized Tesla is available as rTSLA on Bitget, xTSLA on OKX and TSLAB in Binance's bStocks lineup, and TSLA stock perpetuals trade on several exchanges, as listed on our TSLA page. SpaceX trades as tokenized SPCX and SPCX perpetuals on Backpack. Our earlier piece on how to trade SpaceX around the clock covers the product differences.

Third, timing. Tesla reports after Wednesday's US close. CoinDesk says analysts expect revenue of $28.13 billion and adjusted earnings of 44 cents a share. Earnings plus merger questions on the call is a recipe for a big overnight move, and crypto venues let people trade that move at hours when the Nasdaq is shut.

What to check before you trade TSLA or SPCX this week

  1. Know which product you hold. A stock token such as rTSLA or xTSLA tracks the share price and may pass through dividends in some form. A perpetual such as TSLAUSDT is a derivative with funding payments and no ownership. The tokenized stocks hub compares the formats venue by venue.
  2. Watch the overnight price anchor. Bitget's stock futures have traded 24/7 since 7 February 2026, and the exchange limits the mark price to within 3% of the index price, which is based on traditional market prices. When Nasdaq is closed, that band matters: a headline can push trades around, but liquidations follow the mark price.
  3. Size for a gap. If Tesla's results or merger comments surprise, the regular-session open can gap. Lower leverage than usual, and set a stop you can live with.
  4. Treat merger talk as unconfirmed. Musk himself said a deal is not a certainty. The two numbers to wait for are agreed terms from the committees and, on the Tesla side, a shareholder vote that needs a majority of all shares.
  5. Check live campaigns. Bybit is running a "Stock Buzz: Trade Tesla" competition with a 100,000 USDT pool from 16 October 12:00 UTC to 29 October 08:00 UTC, according to Bybit's announcements feed. Our eligibility guide explains who qualifies.

How to act on this

If you want to trade Tesla's earnings and merger headlines outside US hours, Bitget offers both rTSLA and the 24/7 TSLAUSDT perpetual; you can open an account with code nexu888 through our Bitget page and compare it with the other venues on the TSLA tokenized stock page. Keep leverage modest until the merger story has real terms behind it.

What we could not verify

We did not find a regulatory filing describing deal terms, because none has been reported. The bitcoin holdings are as of 30 June and could have changed since. The $2.5 billion value is our own arithmetic at Wednesday's price and moves with bitcoin.
